Following the continued growth of the Investment Management platform in Continental Europe and the launch of two new partnerships investing in data centres over the past 12 months an exceptional opportunity has now arisen for a driven and ambitious individual to join the team. We are seeking an in-house lawyer to support the business on a broad range of corporate finance and fund-related legal matters, including equity raisings, debt financings, and related transactional (M&A) and governance work. This is an excellent opportunity for a lawyer at an early stage of its career to gain hands-on exposure to complex transactions and ongoing legal operations within a dynamic business environment. The role involves close collaboration with all members of the Investment Management Team, the Legal Practice colleagues, external counsel, and internal and external stakeholders across our European business. More concretely, this means you will get the opportunity to: Corporate Support legal aspects of corporate transactions, including M&A and restructurings Review and help negotiate transactional documents under supervision (e.g. NDAs, term sheets, exclusivity agreements and sale and purchase agreements) Assist with transaction management, including due diligence, conditions precedent, and closing processes, as well as post-closing compliance Finance Support legal aspects of debt financing transactions, including (intra-group) loans, bond programmes, (construction and acquisition) credit facilities, refinancings and security arrangements Review and help negotiate finance documents under supervision (e.g. EMTN prospectuses, term sheets, facility agreements, security documents, intercreditor agreements) Assist with transaction management, including conditions precedent, as well as ongoing compliance with financing arrangements and covenants Funds Support legal aspects of the formation, structuring, and operation of investment funds, including debt and equity raisings Review and help negotiate and maintain fund documentation (e.g. Management Regulations, LPAs, PPMs, subscription agreements, shareholder agreements) Review and help negotiate and maintain investment and property management documentation (e.g. investment advisory agreements, financial administration and services agreements, project management and development agreements and property management agreements) Provide practical and business oriented legal advice to internal stakeholders (in particular the Investment Management Team), including advising on the interpretation of fund documentation Assist with investor onboarding, side letters, and ongoing investor queries Governance Review corporate approvals relating to corporate finance transactions (investment committee, board and shareholder resolutions) Assist the Company Secretarial Team to organise annual general meetings and periodic investment committee meetings, review minutes and provide board assistance Assist with maintaining corporate records and transaction documentation Legal Risk Management Monitor and advise on legal and regulatory developments affecting the group's and the partnership's operations (e.g. AIFMD, FDI and FSR) Contribute to the development and maintenance of internal legal policies and templates Support the Legal Practice in strategic projects and initiatives across the business Participate actively in the continental European Legal Practice group and prepare relevant reporting for General Counsel CE as and when required Do you recognize yourself? The ideal candidate has a strong academic background and has 2-4 year's experience, with a background in corporate finance transactions. Prior experience with a top-tier law firm is preferred. He or she has a broad interest, and will have the following qualifications: Strong drafting and analytical skills Good understanding of corporate finance concepts and transaction mechanics Well-organised with strong attention to detail Able to manage multiple tasks and meet deadlines in an agile environment Proactive, adaptable, and eager to learn High ethical standards and professionalism Strong communication skills and ability to work collaboratively with non-legal stakeholders Understanding of data centres and real estate is a plus Excellent written and spoken knowledge of English Not sure if you fit the profile?
