Terms of Service

1. Acceptance of Terms

By accessing or using Hiro, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. User Accounts

You must create an account to access most features of the Service. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain and update your information to keep it accurate and current.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately if you suspect unauthorized access to your account.

You may not create accounts for other people, use another person's account, or transfer your account to another person without our consent.

4. Acceptable Use

You agree not to use the Service to:

• Scrape, crawl, or bulk-download job listings or any other content from the platform.
• Use automated tools, bots, or scripts to access the Service, except for the official Hiro browser extension.
• Create fake job applications, submit false profile information, or misrepresent your qualifications.
• Submit false salary data, fabricated reviews, or misleading company information.
• Use the Service for spam, harassment, or any unlawful purpose.
• Attempt to circumvent rate limits, access controls, or security measures.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to develop a competing product or service.

5. AI-Powered Features and Consent

Illinois HB 3773 Disclosure:By using Hiro's AI-powered features, you consent to the processing of your personal information by artificial intelligence systems as described below.

5.1 AI Systems

Hiro uses Google AI services (Gemini and Vertex AI) to power features including cover letter generation, interview preparation, salary negotiation coaching, resume tailoring, skill gap analysis, and semantic job search. When you use these features, relevant portions of your profile data, resume, and job listing information are processed by these AI systems.

5.2 Nature of AI Outputs

AI-generated content, including cover letters, interview responses, resume suggestions, salary negotiation advice, and skill assessments, is provided as suggestions only. AI outputs may contain errors, inaccuracies, or inappropriate content. You are solely responsible for reviewing, editing, and verifying all AI-generated content before use. Hiro does not guarantee the accuracy, completeness, quality, or suitability of any AI-generated output.

5.3 Limitation of AI Responsibility

We are not responsible for any consequences arising from your reliance on AI-generated content, including but not limited to rejected job applications, unsuccessful interviews, unfavorable salary negotiations, or any other career outcomes. You use AI features at your own risk.

5.4 Opting Out

You may opt out of AI processing at any time by contacting us at privacy@mistiq.org. Opting out will disable AI-powered features but will not affect other Service functionality.

6. Intellectual Property

The Service, including its design, code, branding, logos, algorithms, and all associated intellectual property, is owned by Mistiq and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

You retain full ownership of the content you provide to the Service, including your resume, profile information, and any other materials you upload.

7. User Content and License

By uploading content to Hiro (including resumes, profile data, and application materials), you grant Mistiq a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for the purpose of providing and improving the Service. This license includes the right to send your content to third-party AI providers (Google) for processing as described in Section 5.

We will not share your content publicly without your explicit consent. This license terminates when you delete your account, subject to our data retention practices described in our Privacy Policy.

8. Subscriptions and Billing

8.1 Plans

Hiro offers free and paid subscription plans. Paid plans provide additional features and higher usage limits. Current plan details and pricing are available on the Service.

8.2 Payment Processing

All payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service. You authorize us to charge your payment method on a recurring monthly basis for the applicable subscription fee.

8.3 Cancellation

You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

8.4 Refunds

Refund requests are handled on a case-by-case basis. To request a refund, contact us at legal@mistiq.org. Refunds, if granted, will be issued to the original payment method.

8.5 Price Changes

We may change subscription pricing with at least 30 days' notice. Price changes will apply at the start of your next billing period after the notice period.

9. Affiliate Job Listings

Some job listings displayed on Hiro are sourced from affiliate partners, including CareerJet and Jooble. When you click on an affiliate job listing and are redirected to an external site, Hiro may earn compensation on a cost-per-click (CPC) basis. Affiliate job listings are integrated alongside other listings and are presented based on relevance to your profile, not based on affiliate compensation.

We do not guarantee the accuracy, availability, or legitimacy of job listings from affiliate partners. You should independently verify job listing details before applying.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Mistiq does not warrant that:

• Job listings are accurate, current, or complete.
• The Service will result in employment or any particular career outcome.
• AI-generated content is accurate, appropriate, or error-free.
• Salary data or market information is accurate or current.
• The Service will be uninterrupted, secure, or error-free.
• Third-party job listings or employer information is reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MISTIQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

MISTIQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO MISTIQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mistiq and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any content you submit to the Service; or (e) your use of AI-generated content.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Subject to the arbitration provision below, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution and Arbitration

14.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Cook County, Illinois, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST MISTIQ.

14.3 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise objectionable. Upon termination:

• Your right to use the Service will immediately cease.
• Any active paid subscription will not be refunded for the remaining billing period unless required by law.
• Your data will be handled in accordance with our Privacy Policy, including deletion within 30 days.

You may delete your account at any time from your account settings. Sections 6, 10, 11, 12, 13, and 14 of these Terms survive termination.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mistiq regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
