As a Legal Counsel, you will provide legal support across international portfolio of energy projects and technologies located across the Americas and Europe, from the acquisition or origination of a project, through financial close, construction, refinancing, operations, management and potentially disposition. This role requires the successful candidate to work from Northland Power's Toronto office for a minimum of four (4) days per week. Some international travel may be required to support Northland Power's global activities.
Responsibilities
- Advise on matters related to project acquisitions and financings, formation and management of partnerships, project sell downs, requests for proposals, and due diligence.
- Negotiate, review, and/or draft various commercial agreements, including shareholder and partnership agreements, equipment supply agreements, PPAs, EPC and O&M contracts, and related agreements such as non-disclosure and services agreements.
- Coordinate with and manage specialty counsel in various jurisdictions.

- Qualifications and Experience
- 2+ years of post-call legal experience as a lawyer in a top-tiered law firm and/or in-house environment.
- Transactional experience required - M&A, divestments, joint venture and/or partnership arrangements and financing.
- Experience within the infrastructure sector is desired (preferably in the energy space).
- Combination of experience with project development, management, construction, real estate and/or operations is an asset.
- Licensed and in good standing to practice law in a Canadian province. License to practice in another jurisdiction within the Americas or Europe is an asset.
