Requirements
- Responsibilities - what you will do:
- Maintaining corporate records, including resolutions, board of director changes, annual reports, etc.
- Produce documents related to the development and implementation of corporate policies and templates
- Assist with equity award administration the company's equity management system
- Assisting with IPO readiness activities including completion of stock exchange listing requirements, periodic attestations, and various SEC filings
- Assist with due diligence, KYC and AML compliance requests
- Support closings, draft merger and acquisition documents, and a variety of commercial contracts for standard corporate agreements, such as non-disclosure, marketing, and independent contractor agreements
- Update contract forms and draft simple form documents (e.g., product claim settlement and release agreements) or contract amendments.
- Assisting with management of the process of signing and tracking legal documents
- Ensure appropriate contract authorization and oversee signing authority matrix and delegations of authority
- Providing general support to Law Department and assisting with special projects, as needed.
- Skills and Qualifications - who you are:
- 10+ years (minimum) of paralegal experience, either with a recognized U.S. law firm or in-house with a financial institution, fintech company or technology company
- Knowledge and experience with rules and regulations applicable to U.S. public companies (including those relating to the transition from a private to a public company)
- Experience with administration of an equity management system (such as Fidelity Private Shares)
- Experience with private company capital raising
- Experience with M&A transactions
- Experience actively working with companies from IPO readiness through IPO launch and with public company l
