Legal and Compliance Lead - Private Equity Firm

About the role

We are looking for a Legal and Compliance Lead for a Private Equity Firm. You will be in charge of all Compliance, Legal, and Paralegal matters, and will be working with the Investments team and senior leaders on all Compliance and Legal matters.

Responsibilities

• Legal Support
• Assist with the review, drafting, and negotiation of legal documentations
• Support legal due diligence processes for potential investments and acquisitions.
• Coordinate with external legal counsel on transaction execution, fund matters, and regulatory issues.
• Maintain legal records, corporate documents, and contract management systems.
• Assist in the preparation and review of board materials, resolutions, and corporate governance documentation for the firm and portfolio companies.
• Compliance & Regulatory
• Monitor and support compliance with applicable regulatory requirements governing private equity fund managers and investment advisers.
• Assist in the development, implementation, and maintenance of compliance policies and procedures.
• Conduct compliance monitoring and testing activities.
• Support anti-money laundering (AML), know-your-customer (KYC), sanctions screening, and investor onboarding processes.
• Maintain regulatory filings, registrations, and compliance calendars.
• Assist with regulatory examinations, audits, and information requests.
• Track regulatory developments and assess potential impacts on the firm's operations.

Requirements

• Bachelor's degree in Law, Business, Finance, Compliance, or a related discipline.
• Law degree, legal qualification, or compliance certification (e.g., ICA, ACAMS, CRCM) preferred.
• At least 5 years of experience in a law firm, private equity firm, asset manager, investment fund, financial institution, or regulatory environment.
• Knowledge of private equity fund structures, investment transactions, and regulatory frameworks is highly desirable.
