About the role
We're hiring a Commercial Contracts Attorney to manage and scale Cadence's contracting function across our health system partnerships and vendor relationships, ensuring our agreements support rapid growth while maintaining compliance with healthcare regulatory requirements. Responsibilities
- Own the full lifecycle of commercial contracts, including drafting, reviewing, negotiating, and closing agreements with health systems and other partners.
- Manage all vendor contracts and third-party relationships, including negotiating and reviewing SaaS agreements, service contracts, licensing agreements, data processing agreements, and other procurement-related contracts.
- Collaborate with finance, security, and compliance to evaluate and enable vendor relationships, ensuring third parties meet Cadence's operational, regulatory, and information security standards.
- Develop and maintain contracting playbooks and templates that enable the sales and procurement teams to move quickly while protecting Cadence's interests.
- Manage the existing contract portfolio, including amendments, renewals, and partner and vendor inquiries, ensuring obligations are tracked and met.
- Advise internal stakeholders on healthcare regulatory considerations in deal structures, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirements.
- Collaborate with sales, partnerships, finance, and clinical operations to structure deals that align with Cadence's service lines and Medicare reimbursement frameworks.
- What You Need
- 5+ years of experience handling commercial contracts in-house and/or at a law firm, with a strong preference for experience in healthcare or life sciences. Experience on both the sell-side (customer/partner agreements) and buy-side (vendor/procurement contracts) is preferred.
- Working knowledge of federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements. Experience with HIPAA and privacy law is a plus. Experience contracting with payers is a plus.
- Experience building or improving contracting processes, including playbooks, clause libraries, or template suites that support a scaling organization.
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- A commercial attorney with healthcare experience who thrives in high-velocity, mission-driven environments and is comfortable owning the contracting function with minimal oversight.
- Fluency with AI research and productivity tools and the ability to evaluate AI-driven insights critically, distinguishing signal from noise in a fast-moving information environment.
