Primary Responsibilities: Collaborate with clients to develop and execute transaction strategies aligned with their business objectives; Assist in and manage all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration; Draft and negotiate definitive transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements; Conduct and manage legal due diligence reviews and summarize findings for deal teams and clients; Analyze legal, regulatory, and competitive considerations affecting transactions across a variety of industries; Advise clients on corporate governance and general corporate matters; Interact directly with business executives, investors, and other transaction stakeholders; Work collaboratively as part of a high-performing deal team, with increasing responsibility as experience grows. The Ideal Candidate Will Have: 1-8 years of relevant experience in corporate transactions, with a strong interest in mergers and acquisitions; Admission to practice law in Nebraska, or current eligibility for admission; Experience drafting and negotiating transactional documents; Experience with M&A due diligence processes; Excellent academic credentials Ability to clearly and concisely communicate complex legal concepts in both written and oral form; Strong work ethic, attention to detail, and a proactive approach to learning and responsibility; Ability to identify and analyze legal and business risks in transactional matters; Effective analytical skills and the ability to work collaboratively in a fast-paced team environment.
