About the role
This Corporate Governance Manager role (Corporate & External Affairs Analyst Senior) is based in the London Corporate Governance Team, which forms part of FIS's global Legal, Compliance and Corporate Affairs function. You will work as part of an international network of governance professionals located in London, Singapore and FIS's headquarters in Jacksonville, Florida, supporting entities across the full spectrum of FIS's global corporate structure.
Responsibilities
- Main duties and responsibilities will include:
- Attend board and committee meetings and draft minutes, agendas, entity resolutions and other corporate governance documents;
- Support regulated boards, committees and senior management on matters relating to quarterly board meetings;
- Review annual financial statements, prepare approval documents or coordinate with external counsel, and assist with statutory filings, event-driven changes and maintenance of entity database records;
- Assist with corporate projects, including annual cash repatriation, capitalisations, entity rationalisations and restructurings, post-acquisition integrations and other legal projects;
- Liaise with and support other departments on corporate governance matters;
- Coordinate with external law firms and review required corporate governance documents for applicable jurisdictions.
- What you bring:
- Graduate of Law; Chartered Governance Institute (CGI) and/or Paralegal certification;
- 4 or more years of work experience in legal or regulatory environments
- Specific experience in English company secretarial activities and knowledge of relevant company legislation of England and Wales, and some knowledge of internation governance requirements;
- Experience with the drafting of corporate documents and minute taking;
- Experience working with outside resources;
- Strong communication skills with the ability to multi-task and prioritize work and contribute to a fast-paced, deadline-focused environment;
- Strong IT skills; familiarity with Diligent Entities, and proficiency in Windows-based applications, Microsoft Outlook, WORD, and EXCEL.
- Ability to occasionally travel for Board and committee meetings in country or abroad.
- Added bonus if you have:
- Experience of company secretarial activity in overseas jurisdictions (principally European);
- Basic grounding in contract and other commercial law principles;
- Some aptitude for European languages would be helpful, but not essential.
