Join Fairstone Bank as a Senior Law Clerk , reporting to the Senior Vice President , Chief Legal Officer and Corporate Secretary and be part of our talented and growing team! Your responsibilities will include preparing and tracking corporate filings, maintaining minute books for the corporate entity group, supporting the Corporate Secretary with Board of Director meetings and ongoing corporate governance. You may also be asked to assist in other areas in support of the legal department accountabilities. The ideal candidate will have experience in financial services or other regulated industry, is highly organized, a self-starter by nature looking for the next big challenge, who thrives in a fast-paced, high-energy work environment with an expanding financial services organization. Minute book maintenance and the preparation of corporate and regulatory filings, both at the provincial and federal level; Working closely with the Corporate Secretary by managing all aspects of the Board meeting administration, including but not limited to, Board and Committee workplans, agendas, draft minutes and communication with internal participants and members of the Board of Directors; Managing other corporate and administrative matters as needed, including the management of legal notices and certain regulatory inquiries; Providing operational legal support to business units autonomously and where appropriate, under the supervision of in-house counsel; Other special projects and responsibilities that may arise from time to time;
Requirements
- Law clerk certification or Paralegal Diploma with requisite experience;
- 8+ years of experience in an in-house legal department or a combination of law firm and in-house legal department;
- Experience working in banking and financial institutions or other similarly regulated industries;
- Proficient in SharePoint document management, Microsoft Office, particularly Word, Excel, PowerPoint and Outlook;
- Proficient in Diligent Board Books or other board governance management system;
- Excellent verbal communicator and strong drafting and written communication skills;
- Bilingual (English and French), written and spoken is an asset.
- Extremely well-organized, with the ability to work under pressure, and handle multiple projects/assignments concurrently;
- Strong attention to detail and accuracy with an ability to work on confidential and/or sensitive matters with professionalism and discretion;
- Highly motivated, energetic and enthusiastic self-starter;
