The Role: Is 100% On-Site The Corporate Paralegal provides support across the broad range of legal and compliance topics facing the company, including in the areas of litigation, compliance, business insurance and risk management, corporate governance, public company securities compliance, and contracting support. ESSENTIAL JOB FUNCTIONS (INCLUDE THE FOLLOWING): Legal and Corporate Support Draft and track restrictive covenant agreements, business associate agreements (BAAs), confidentiality and nondisclosure agreements, and certain vendor agreements. Assist with routine customer contracts with attorney oversight, including preparing drafts on company templates, advising local pharmacy presidents and sales leadership on pricing standards Assist with corporate governance initiatives, including entity formation filings and annual reporting. Support the planning, scheduling, and preparation of materials (agenda, minutes and resolutions) for Board of Director meetings. Create and maintain organized files, records, contact lists, policies, and databases related to public company securities compliance and recordkeeping requirements; Maintain and update corporate ownership records, including stock ledgers and equity compensation documentation. Assist with matters relating to share issuances including drafting of letters and Rule 144 and other opinions to stock transfer agent and communicating with various state and local agencies. Operations/Administration Maintain paper and electronic files of various legal documents and track/follow-up with the field on execution and filing of prepared contracts. Handle administrative tasks for the department, including processing legal vendor and outside firm invoices and preparing expense breakdowns for the GC and CFO. Manage accounts with various legal vendors such as DealRoom, DocuSign, Ironclad, NetDocuments, and RASi. Create and maintain internal legal and business facing standard operating procedures, best practices, and other resources to help drive efficiency and streamline legal processes. Assist with the creation of PowerPoint presentations for trainings and other purposes. Insurance Assist with management of Company's insurance program and handling of insurance claims. Serve as liaison between insurance broker, pharmacies, and Atlanta Support Services for all insurance claims. Monitor routine auto and workers' compensation claims; assist with claim analysis and benchmarking projects. Review third-party insurance certificates and serve as liaison between insurance underwriters and pharmacies for all requests for new insurance certificates. Compliance and Litigation Support Analyze and respond to subpoenas, HIPAA records requests, and other requests for confidential information. Coordinate with pharmacies to obtain requested records. Redact confidential information, as necessary. Support in-house counsel with litigation matters, including organization of case files. Assist with other special compliance initiatives. Education and Certifications: Bachelor's degree required. Paralegal certification or equivalent required.
