About the role

We are seeking a highly motivated and skilled Capital Markets Associate to join our dynamic team in Beijing. The successful candidate will be involved in a wide range of Greater China IPO transactions, including but not limited to, ECM transactions and some DCM transactions. This role requires a deep understanding of financial markets, as well as the ability to navigate complex legal and regulatory frameworks across multiple jurisdictions.

Responsibilities

  • Draft, review, and negotiate legal documentation related to Greater China equity capital markets transactions and debt capital markets transactions.
  • Advise clients on transactions including IPOs, follow-on offerings, and debt issuances.
  • Draft and negotiate transaction documents, including prospectuses, underwriting agreements, and disclosure materials.
  • Liaise with regulatory bodies and stock exchanges in Mainland China and Hong Kong.
  • Support client meetings, due diligence sessions, and deal execution across Greater China.
  • Collaborate with colleagues across practices and jurisdictions to deliver seamless client service.
  • Participate in client meetings and conference calls to discuss transactional structures and legal issues.
  • Your experience
  • Qualified lawyer with a minimum of 1 years PQE in capital markets within a reputable law firm or financial institution.
  • Strong academic credentials in law.
  • Proficiency in English and Mandarin is mandatory.
  • Proven track record in managing capital markets transactions
  • Excellent legal drafting and negotiation skills.
  • Ability to work under pressure and manage multiple deadlines in a fast-paced environment.
  • Strong analytical, communication, and interpersonal skills.
  • A team player with a commitment to delivering high-quality work.
