About the role
As a mid-senior associate, you will play a key role in the execution and management of complex ECM transactions in Saudi Arabia and the wider region. We combine deep local market knowledge with Clifford Chance's global capital markets expertise, including seamless integration with our US securities, international ECM and sector teams. The AS&H CC Corporate and Equity Capital Markets team is co-led by Mansoor Al‑Hagbani and Majid Alshiekh. You will be heavily involved with Mansoor as well as Rakan Kawar on most transactions, alongside a large team of over 15 ECM lawyers based in Riyadh-the largest on-the-ground ECM team in the Kingdom-meaning you will have significant support. More broadly, the Firm's Corporate and Capital Markets practice in Saudi Arabia The team is consistently recognised for advising on landmark and market‑defining ECM transactions in the Kingdom, acting for issuers, shareholders and financial institutions on some of the most significant offerings on the Saudi Exchange (Tadawul). Matters are frequently multi‑jurisdictional and involve close collaboration with colleagues across the Clifford Chance global network, particularly in London, the US, Europe and Asia.

- Secondary offerings, rights issues and accelerated transactions
- Block trades and sell-downs by governmental, sovereign and strategic shareholders
- ECM-related M&A and restructuring transactions, including equity-linked acquisitions
- Dual-track and dual‑listing transactions
- Cross-border offerings incorporating Rule 144A / Regulation S structures
- ECM transactions involving regulated sectors aligned with Vision 2030 priorities
- Other first-of-its-kind transactions in the Saudi market
- Recent highlights include:
- IPO & Equity Offerings
- ACWA Power on its landmark US$ 1.9 billion rights issue
- Americana Restaurants on its landmark concurrent initial public offering and dual listing of shares on the Abu Dhabi Securities Exchange (ADX) and the Saudi Exchange (Tadawul), the first dual listing in the region (IFLR "Middle East Equity Deal of the Year" for 2023)
