Securitisation Lawyer

Responsibilities

• Provide legal advice and support on securitisation and structured finance transactions, including the structuring, negotiation, and documentation of complex deals.
• Draft, negotiate, and review transaction documentation including offering memoranda, trust deeds, security agreements, servicing agreements, and other securitisation documentation.
• Support transactions involving asset-backed securities (ABS), receivables securitisations, and other structured finance arrangements.
• Manage domestic and cross-border securitisation transactions, coordinating with lenders, arrangers, originators, trustees, and external counsel.
• Conduct legal analysis and due diligence to identify risks and ensure compliance with relevant securities laws and regulatory requirements.

Requirements

• Qualified lawyer eligible to practice in the UK with the right to work in the UK.
• Demonstrated experience advising on securitisation, structured finance, or debt capital markets transactions.
• Experience drafting and negotiating securitisation documentation, including offering memoranda, trust deeds, servicing agreements, and security documentation.
• Experience gained at leading law firms within structured finance, securitisation, or capital markets teams; in-house or secondment experience is advantageous but not essential.
• Strong commercial awareness, excellent negotiation and stakeholder management skills, and the ability to deliver pragmatic, business-focused legal solutions.
