Job Description Legal, Compliance and Governance To lead and oversee the organisation's compliance framework to ensure adherence to applicable laws, regulatory requirements and internal policies, while providing strategic advisory support to the Head of Legal & Secretariat and Head of Group Compliance. Act as the legal advisor to the internal stakeholders, business units, senior management and where required, the Board Committees and Board of Directors on all legal matters relating to company law, capital markets and securities laws, banking and financing laws, Securities Commission guidelines including but not limited to the anti-bribery and corruption laws, personal data protection laws, anti-money laundering laws and any other applicable laws governing the regulated activities in Malaysia including REIT and non-REIT entities. Drafting, reviewing, vetting and preparation on key legal documents, including contracts, agreements, financing and loan documentation, and property‑related agreements and instruments (SPA, tenancy, land matters). To be involved in acquisition transactions where required including time-sensitive and tightly timed negotiations, reviewing non-disclosure agreements, understand the property due diligence process, comment on and restructure sale and purchase agreements, lease agreements and overseeing the conditions of the agreements until completion/registration of title or disbursement of the loan (if financed). Ensure and monitor legal and regulatory compliance with all applicable laws, including but not limited to the capital markets and securities law, company law, Bursa Main Market Listing Requirements, anti-money laundering laws, anti-bribery and corruption laws, personal data protection laws and other regulatory laws and requirements under the purview of the assets of the REIT. To design and/or improve on the design of the compliance framework including drafting policies and procedures, compliance plans, standard operating procedures, manual and other forms of documentation which may be required. To handle the working-level regulator clarification and engagements with the regulators and statutory bodies. To liaise with the REIT Trustee on legal compliance and regulatory manners as well as day-to -day legal documentation requirements like compilation of Trustee's documents and to implement the existing and new policies and procedures and frameworks, to have oversight and accountability for the day-to -day compliance effectiveness, prepares reports and updates to the Head of Legal & Secretariat. Lead in implementation, monitoring and reporting of regulatory compliance requirements for CapitaLand entities in Malaysia including but not limited to anti-money laundering laws, anti- corruption laws, corporate governance, personal data, technology risk requirement and business-related issues. Responsible for overall supervision of compliance with securities laws, regulations and guidelines, and any other applicable law governing the regulated activities. Establish, review, and enhance control systems, policies, and monitoring programmes to detect, prevent, and remediate compliance breaches. Act as a key liaison person with some regulatory authorities and provide response and necessary information within the compliance requirements during internal audits and external audits/enquiries by the authorities/regulators.
