As a Legal and Governance Counsel (Assistant Company Secretary), you'll provide high-quality company secretarial support and corporate governance advice across Xero and its global subsidiaries. The team & how they connect The Company Secretarial team sits within Xero's broader Legal, Risk, and Compliance function and is responsible for keeping Xero compliant with its obligations as an ASX-listed company, while also managing the governance of a global subsidiary network. The team works closely with Finance, Tax, Investor Relations, M&A, Corporate Communications, as well as external advisers, the share registry, and regulatory bodies. It's a small, high-trust team where collaboration, quality, and follow-through matter. Initially, you will focus on Supporting ASX and SGX listing compliance, including continuous disclosure obligations, routine lodgements, and the annual corporate actions timetable (AGM, Half year full year) Assisting with board and subsidiary governance processes - from collating board packs and minuting meetings to drafting resolutions and facilitating director education Maintaining Xero's corporate records and supporting capital flows, officeholder changes, and the integration or consolidation of subsidiary companies Provide advice on governance, compliance and related matters,including monitoring governance developments and contributing to the continued evolution of best-practice processes across Xero's global subsidiary group Where and how you can work This role is based in Melbourne. Xero operates on a hybrid working model, so you'll have flexibility to balance time in the office with remote work. Here are some of the things we are looking for A background in corporate law or company secretarial practice, with a genuine interest in governance - in-house or listed-company experience will be well regarded Strong drafting, analytical, and interpretation skills, with sharp attention to detail and the ability to follow matters through from start to finish A working understanding of ASX Listing Rules and corporate governance principles - or the drive and curiosity to build that knowledge quickly An interest in AI and automation, and a mindset oriented toward continuous improvement and innovation in how governance work gets done Clear and confident communication skills, both written and verbal, with the ability to engage effectively with stakeholders at all levels across a globally dispersed business The ability to work both autonomously and collaboratively - comfortable navigating ambiguity and taking a proactive approach to problem-solving Governance Institute qualifications or equivalent desirable Apply even if your experience isn't a perfect match!
