( *in collaboration with AbbVie ) The Sr. Commercial Counsel serves as a key legal partner to the Company's commercial organization, providing practical, business-focused legal advice across a broad range of commercial activities, including Sales, Marketing, Commercial Operations, Market Access, and Medical initiatives. This role supports complex commercial matters in the pharmaceutical industry while ensuring compliance with applicable healthcare laws, regulations, and Company policies. _ Your Contributions (include, but are not limited to): Provide clear, practical legal advice and risk guidance to key stakeholders across the commercial organization including marketing, sales, market access, patient services, and medical affairs focused on the following: Commercial activities, including operations and analytics initiatives, sales and marketing strategies, training, and medical education Legal matters related to commercial products and compliance with applicable healthcare laws and regulations, including the Anti-Kickback Statute, False Claims Act, and the Food, Drug, and Cosmetic Act Strategic and tactical legal advice on commercial issues, including support for cross-functional initiatives in partnership with Regulatory, Compliance, and Medical Affairs Draft, negotiate, and advise on a broad range of commercial agreements, including vendor services agreements, data purchase and license agreements, market research arrangements, speaker bureau and advisory board agreements, market access and distribution related contracts, and other commercial initiatives Advise on promotional and non-promotional materials, ensuring compliance with FDA regulations, OPDP guidance, and applicable healthcare laws Partner closely with business clients to understand business requirements and ensure strategies and contractual terms align with Company priorities and policies Counsel on product lifecycle initiatives, including new indications, label expansions, and market differentiation strategies Support government price reporting, reimbursement strategies, and interactions with payers and PBMs Assist with training internal stakeholders on legal and compliance requirements Manage and coordinate legal matters handled by outside counsel Other duties as assigned
