Prepare SEC filings, including Exchange Act reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filings
Advise on disclosure controls and procedures, earnings releases, investor presentations, and investor communications
Support capital markets transactions, including equity offerings, debt financings, and other programs
Advise on corporate governance matters, including Board and committee support, charter documents, and corporate policies
Partner closely with Finance, Accounting, Investor Relations, HR, and external counsel to ensure accurate and timely disclosures
Monitor and advise on developments in securities law, SEC rules, and governance best practices
Support insider trading compliance, equity compensation matters, and Rule 10b5-1 plans
Assist with ESG disclosures and related governance initiatives, as applicable
Requirements
J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction
8+ years of relevant Corporate Securities experience, including public company securities work
Experience at a leading law firm and/or in-house at a publicly traded company; life sciences or biotech experience strongly preferred
Deep knowledge of U.S. securities laws, SEC reporting requirements, and corporate governance
Experience supporting capital markets transactions and interacting with senior executives and boards
Strong drafting, analytical, and communication skills
Ability to manage multiple priorities with a high degree of accuracy and judgment

Pay Range:
In the U.S., the hiring pay range for fully qualified candidates is $259, 200-$302,400 per year. The base pay actually offered will take into account internal equity and also may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors.
