Job Purpose
The Senior Attorney, Corporate Legal reports to the Vice President, Corporate Legal and is responsible for providing a wide range of legal support and advice to internal stakeholders on corporate law matters, including mergers and acquisitions; public company debt and capital markets transactions; share repurchase programs and strategy; capital return options and implementation; and hedging and derivatives related agreements. The Senior Attorney, Corporate Legal also provides general legal support for various special enterprise-wide projects involving corporate strategic and transactional matters. Key internal stakeholders include Corporate Development, Treasury, Finance, Institutional Products, Reinsurance, and Asset Liability Management.
Essential Responsibilities
Advise internal stakeholders on the legal aspects, structuring, risks, and benefits of acquisitions, insurance block purchases and other reinsurance transactions, divestitures, joint ventures, and restructurings.
Advise internal stakeholders regarding debt and capital markets transactions, including senior, subordinated, and hybrid debt arrangements; preferred stock issuances; and other related transactions.
Advise internal stakeholders regarding options and implementation of methods to provide capital return to shareholders, including share repurchase strategies and dividend declarations.
Support the negotiation and drafting of various types of transaction documents and financial agreements, including reinsurance agreements, asset purchase agreements, stock purchase agreements, credit agreements, ISDAs, and other derivatives related agreements (MRAs, futures, custodial and master confirmation agreements).
Coordinate with Jackson's share transfer agent as necessary to implement dividend declarations, share purchases, and other stock-related matters.
Provide legal support for the coordination of special enterprise-wide projects related to a wide variety of matters/issues, including strategic initiatives and transactional matters, due diligence, agreement negotiation, project management, and post-closing integration.
Other Duties
