Blue Cross of Idaho is seeking an Assistant Corporate Secretary, Associate General Counsel to provide hands-on corporate governance, entity management and regulatory insurance support across the Gemstone Holdings group and its affiliated entities to include Blue Cross of Idaho Health Service, Inc. This position is embedded day-to-day with the Corporate Secretary team while remaining part of the enterprise Legal Department. We are seeking a senior level, execution-oriented attorney who thrives in a fast-paced, deal-driven environment and partners closely with business leaders from initial structuring through post-closing execution. Experience supporting healthcare, insurance, or other highly regulated industry transactions is strongly preferred. Reporting relationship: This position reports to the Corporate Secretary, VP and Deputy General Counsel. This role allows for a flexible hybrid schedule (onsite Meridian Idaho campus and work-from-home). #LI-Hybrid To be considered for this opportunity you have: Experience: Eight or more years of progressively responsible experience in corporate governance matters. In-house experience or relevant senior law firm experience will be considered. Education: Juris Doctor (JD) degree from an accredited law school. Certifications/Licenses: Active membership in good standing with the Idaho State Bar or ability to acquire such status within one year of hire. Candidates must successfully complete (within 3 months) and successfully pass a NAIC Biographical Affidavit background investigation (or NAIC background verification) as a condition of employment. Additional Success Factors: Demonstrated ability to independently lead and execute complex transactions with limited supervision; strong executive judgment; comfort working directly with senior executives; and ability to operate effectively in a hands-on, deal-driven environment. In this role, we will ask you to: Support the Corporate Secretary and senior leadership on a wide range of corporate governance matters, including board and committee operations, corporate compliance, and entity management. Board and Committee Governance : Prepare board and committee meeting agendas, materials, and minutes; draft resolutions; coordinate meeting logistics; and ensure proper documentation and record-keeping in accordance with best governance practices. Corporate Transactions & Strategic Initiatives : Provide governance support for mergers and acquisitions, joint ventures, strategic partnerships, investments, restructurings, and other corporate transactions. This includes preparing and reviewing board materials, ensuring proper authorizations, maintaining accurate corporate records, and supporting post-transaction integration from a governance perspective. Corporate Records & Entity Management : Maintain and manage the company's corporate books, records, organizational charts, and subsidiary governance documentation. Oversee annual filings, good standing certificates, and compliance with state and federal corporate requirements. Governance Policies & Compliance : Assist in developing, implementing, and monitoring corporate governance policies, codes of conduct, and compliance programs. Ensure transactions and corporate actions comply with applicable laws, regulations, internal policies, and best practices. Regulatory Interaction with Departments of Insurance : Serve as a key point of contact for interactions with state Departments of Insurance. This includes preparing and submitting regulatory filings, responding to inquiries, coordinating licensing and approval processes, and ensuring timely compliance with insurance regulatory requirements across multiple jurisdictions. Outside Counsel & Advisor Coordination : Help select and manage outside counsel for governance, securities, and corporate matters. Track and coordinate legal advice to ensure alignment with business objectives and governance standards. Cross-Functional Partnership : Collaborate closely with the corporation's Finance, Compliance, and operational teams to provide timely governance guidance, identify potential risks, and facilitate efficient decision-making and execution of strategic initiatives. Perform additional duties and responsibilities as assigned.
