Who You Are & The Impact You Will Have: Senior Corporate Counsel - Power & Utilities supports the company's energy strategy team and other internal stakeholders in a variety of transactional matters. Senior Corporate Counsel is expected to develop a comprehensive understanding of the power solutions for a data center campus and provide actionable advice to business stakeholders. Secondary responsibilities may include corporate governance, energy regulatory and compliance, development of internal corporate policies and procedures, and assisting others on the legal team with insurance issues and vendor contract negotiations.
Responsibilities
- Negotiating and drafting contracts with regulated electric utilities, merchant generation suppliers, and other third-party providers of power-related (power delivery, EPC, etc.) services and equipment.
- Negotiating and drafting contracts related to retail and behind-the-meter generation
- Advising business stakeholders on opportunities and risk in power transactions
- Facilitating communication among internal stakeholders, frequently including energy strategy, real estate investments, customer leasing, and finance teams
- Working with and managing outside counsel
- Assisting with legal and regulatory compliance
- Assisting with corporate governance matters as well as managing books and records
- Supporting other key business stakeholders on power-related aspects of other business segments that include lending/financing, joint ventures, acquisitions, construction, real estate, intellectual property, tax abatements, litigation, etc.
- Supporting other legal and general business matters based on the needs of the company, as assigned.
- What You Will Need to be Successful:
- J.D. from an accredited U.S. law school with strong academic credentials
- Admission to the Bar of a U.S. state or the District of Columbia
- Five or more years of legal experience as a practicing lawyer working in a general corporate transactional practice
Requirements
- Experience working with or representing regulated utilities or large consumers of energy
- Experience with retail generation transactions
- Experience with PPAs
- Experience with behind the meter generation projects and other non-traditional power solutions
- Experience representing large consumers of energy

- Hands-on, self-starter who is disciplined and detail-oriented, and who enjoys working both independently and collaboratively in a fast-based business environment where timely and precise work product and clear communication are a must
