Secretarial Manage all secretarial matters and compliances relating to the Company, board of directors and shareholders including convening all board and general meetings (AGM/EGM) Maintaining a compliance calendar and filing all statutory documents and returns in a timely manner Preparation and maintenance of various statutory books and other records. Provide regular updates on business / laws to Manager/Management Legal To assist in drafting and vetting of various agreements and deeds on behalf of the company with third parties To coordinate with existing legal consultants in handling various legal matters pertaining to the company and to onboard new legal consultants when required Ensure the company is legally protected in all its transactions with customers, suppliers, statutory authorities and other third parties. Manage the litigation portfolio of the company Handled all facets of contracting requirement for the business and support functions from proposal preparation, drafting, review, negotiation, closing deals, developing templates, analysing / identifying legal risks and take appropriate actions to mitigate risks and to safeguard Company's interest. General legal and regulatory compliance with respect to all laws in respect of the business of the company in retailing, distribution and manufacturing and compliance of requirements of various judicial, quasi-judicial, government, semi-government or autonomous authorities. FEMA: Ensure timely filing of FLA, APR, ODI, FCGPR, FCTRS, DI Reporting or any other filings as may be applicable from time to time. Ensure FEMA compliances as may be applicable from Bangladesh Liaison Office/Pvt Company which is WOS of Indian Company. Education and Experience Company Secretary & LLB / LLM 10-15 years relevant work experience in a corporate environment with exposure to Chemical industry and M&A integration. Knowledge and Skills Understanding of Indian Law and corporate governance requirements.
