The role will support the commercial group in GCO with a primary focus on GTS. Duties are centred on providing legal advice on contracts for SaaS, software, hardware, cloud infrastructure, and emerging technologies like AI/Generative AI. We are ideally looking for someone who has strong technical literacy and curiosity. Job Description Summary: As part of TMX's legal and corporate affairs team, reporting to the Director, Intellectual Property and Commercial Services, the Legal Counsel, Commercial Services is responsible for supporting TMX Group Limited and its affiliates on a variety of commercial and transactional matters across the enterprise, including for the Global Technology Services team. In this role, you will work closely with the Strategic Procurement team, business lines, and technology stakeholders to draft, review, and negotiate a broad range of high-impact commercial contracts. You will act as a trusted advisor on multi-faceted strategic projects and commercial transactions in a fast-paced technology and financial services environment. Commercial Contracting & Negotiation: Independently structure, draft, and negotiate complex technology and commercial agreements, aligning your expertise across the following tiers: : High Experience: SaaS, PaaS, cloud infrastructure, proof of concepts, professional and consulting services, data licensing and cross-border processing (including privacy compliance), software development agreements, Service Level Agreements and hardware procurement. Exposure/Familiarity: Artificial intelligence/Generative AI, high-criticality technology acquisitions, complex outsourcing transactions, source code escrow, open-source software (OSS) licensing. Strategic Projects & Advisory: Support multi-faceted, cross-jurisdictional strategic initiatives, providing actionable legal guidance across intellectual property (IP), artificial intelligence (AI), global privacy and data governance, information security and applicable regulatory requirements. Partner with cross-functional teams to identify, assess and mitigate emerging technology and third-party risks. M&A and Corporate Integration: Provide critical legal support on transaction and integration matters related to corporate acquisitions, divestitures, and reorganizations. Day-to-Day Commercial Support: Deliver clear, risk-adjusted advice on contract interpretation, corporate policies, and commercial dispute resolution to protect the enterprise's interests. Operational Excellence & Continuous Improvement: Drive legal efficiency and scalability by contributing to the development of contracting playbooks, standardized templates and technology-assisted workflows to optimize department operations. Stay abreast of emerging legal trends, legislative updates, and regulatory shifts in technology law to proactively adapt TMX's contracting templates and legal strategies. Ad-Hoc Support: Adapt to evolving business needs by handling other legal duties and special projects as assigned. Must Have Skills: Called to the Bar of Ontario with membership in good standing with the Law Society of Ontario Qualified legal professional with at least 3 years of relevant, working experience ideally gained at a top-tier law firm or sophisticated, regulated corporate environment Knowledge and experience drafting, negotiating, structuring and advising on various types of commercial contracts and transactions, including relating to all aspects of information technology and procurement Good overall understanding of intellectual property law and other technology-related legal principles and regulatory frameworks Exceptional written and verbal communication, negotiation and drafting skills Excellent analytical and problem-solving skills, and attention to detail Team-oriented and able to build relationships with all levels of the organization.
